Position Specific Description

We are in search of a Senior Tax Attorney to join our Tax Planning team. Our in-house tax department operates in a fast-paced, dynamic, and collaborative environment. The ideal candidate will have experience supporting M&A transactions from a tax perspective and be adept at modeling the tax implications of transactions.

**Professional Experience:**

  • Strong background in transactional tax focusing on acquisitions, dispositions, financings, reorganizations, restructurings, venture capital fund investments, joint ventures, and working with tax regulations
  • Strong organizational and interpersonal skills, ability to collaborate effectively with specialists, and proactively support business needs
  • 3 years of experience preferred working on M&A tax issues at an AmLaw 100 law firm or within the M&A group of a Big 4 public accounting firm
  • Energy industry experience preferred

**Additional Responsibilities:**

  • Provide tax support to deal teams and business units on acquisitions, dispositions, financings, reorganizations, and more to optimize tax treatment
  • Act as the U.S. federal income tax single point of contact, identify state income tax issues, and address non-income tax matters
  • Support various global tax projects, analyze tax laws, work with tax advisors, and prepare financial models
  • Clearly communicate technical tax issues to management and stakeholders
  • Draft tax provisions in deal documents and prepare technical tax memoranda

**Job Overview:** Employees in this role provide support to the organization regarding tax aspects of business transactions to optimize taxes.

**Job Duties/Responsibilities:**

  • Manage various worldwide tax projects, analyze tax laws, work with tax advisors, partner with business units, and review financial models
  • Collaborate with Governmental Affairs, Investor Relations, and Communications
  • Communicate complex tax issues to Senior Management and stakeholders
  • Negotiate, draft, and review tax provisions in deal documents
  • Prepare technical tax memoranda
  • Manage and develop team members
  • Perform other job-related duties as assigned

**Required Qualifications:**

  • Bachelor's Degree
  • Juris Doctorate
  • 5 years of experience
  • Member in Good Standing of State Bar

**Preferred Qualifications:**

  • LLM (Master of Laws)
